Ontario Incorporation

Form 1 - Articles of Incorporation (Ontario Business Corporations Act)


This form together with the required supporting NUANS name search (if required) and fees, must be file with the Ministry to incorporate an Ontario Business Corporation under the Business Names Act. (OBCA)

Documents are prepared by client and filed in paper form over the counter by our clerks. Documents must be filed in duplicate with original signatures on both copies. A valid NUANS name search must be provided to incorporate a named company.

Particulars regarding registered head office, mailing address, names and addresses of the directors, incorporators and the share structure and any provisions are supplied by the client in electronic format. Amend an Ontario Corporation

Application for Extra-Provincial License - Form 1


This filing is used by a corporation that is incorporated, continued or amalgamated in another jurisdiction outside of CANADA.

The following documents must be supplied with the application:

(a) an Appointment of Agent for Service (see below for form);

(b) a Certificate of Status issued under the seal of office and signed by the proper officer (Director, Corporations Branch, or equivelant) of the home jurisdiction and must set out the following:

(i) the name of the Corporation;
(ii) date of incorporation/amalgamation or merger;
(iii) jurisdiction to which the corporation is subject
(iv) that the corporation is a valid and subsisting corporation; and

(c) the original NUANS name search report (click to visit our NUANS services)

Articles of Revival - Form 15


This form is used to revive a corporatopm where the Director has cancelled the certificate of incorporation under Section 241 of the Business Corporations Act and it is less than twenty years after the date of dissolution.

The following documents must be supplied with the application:

(a) All outstanding notices and returns;
A current annual return must be filed with the Ministry if Finance upon revival. Any outstanding Special Notice/ annual Return filings from 1992 to 1995 must be be attached with the outstanding fees ($50 per year not paid to a max of $150).

(b) An Ontario biased Nuans Name search is required if the corporation is being revived more than ten years from date the corporation was cancelled, OR, if the corporate name is being changed at time of revival.

(c) A consent letter from the Minister of Finance is required if the corporation failed to comply with Corporations Tax Act, Employer Health Tax Act, Fuel Tax Act, Gasoline Tax Act, Land Transfer Tax Act, Retial Sales Tax or Tobacco Tax Act.

Articles of Dissolution - Form 10/Form 11


Form 10 - This form is used to voluntarily dissolve a business corporation where the dissolution has been authorized by the shareholders of the corporation.

Form 11 - This form is used to voluntarily dissolve a business corporation ONLY where the corporation has not issed any shares, has not commenced business, and the dissolution has been authorized by the incorporators.

The following documents must be supplied with the application:

(a) A written consent to the dissolution from the Minster of Finance, and must be submitted within 60 days after the Minister of Finance provides consent.
